Unfavorable Credit Agreement

1. Credit Status Acknowledgment

The Shipper acknowledges that based on credit evaluation, payment history, or limited credit information, the Shipper has been classified as having unfavorable or unverified credit. As a result, shipments arranged through Unique Giant Logistics, LLC will require prepayment prior to dispatch of freight.

2. Prepayment Requirement

• All freight charges must be paid in full prior to dispatch
• No carrier will be assigned until payment is received
• No shipment will be scheduled without confirmed payment
• Payment must clear before load confirmation is issued

Accepted payment methods may include wire transfer, ACH payment, certified funds, or other approved methods. Personal checks may not be accepted unless approved in writing.

3. Payment Timing Requirements

Payment must be received and cleared no later than 48 hours prior to scheduled pickup. Failure to provide payment within required timeframes may result in:

• Shipment cancellation
• Delay in carrier assignment
• Rescheduling fees
• Administrative charges

4. Rate Confirmation Requirement

All shipments remain subject to written Rate Confirmations. Once a Rate Confirmation is issued and accepted, the agreed freight rate becomes legally binding, cancellation fees may apply, and carrier charges may still be owed.

5. Non-Payment or Payment Failure

If payment is reversed, declined, or disputed, services may be suspended immediately, future shipments may be refused, and collection or legal action may be pursued. All recovery costs, including collection fees, attorney fees, and court costs, may be billed to the Shipper.

6. Cancellation Policy for Prepaid Shipments

If the Shipper cancels after payment but before dispatch, refund eligibility will be determined based on dispatch status, administrative work completed, and carrier involvement. If a carrier has already been assigned, cancellation fees, carrier charges, and retained administrative costs may apply.

7. Credit Review and Reinstatement

Unique Giant Logistics, LLC reserves the right to reevaluate shipper credit status at any time, remove prepaid requirements if credit improves, or continue prepaid requirements until sufficient payment history is established. Credit terms may be reconsidered after successful payment history, multiple completed shipments, and verified credit improvement.

8. Agreement to Terms

By signing, the Shipper agrees to comply with prepaid shipment requirements, submit payment prior to dispatch, accept responsibility for all freight-related charges, and acknowledge credit-based payment restrictions. This Agreement remains in effect until modified in writing by Unique Giant Logistics, LLC.
